Churn needs a fix that works in the real world, but retention work can also trigger complaints, chargebacks, or deliverability problems if the changes land too hard or too fast. This retention programmes contract gives a client something concrete to approve, because the agreement spells out how the audit, build work, and ongoing optimisation get handled without guessing at risk.

The opening sets the frame, then Order details gives the scan-and-check block for what’s being bought, the retainer term, monthly price, and any setup fees. Scope of work names the deliverables, from a subscription retention audit through lifecycle email and SMS builds, on-site subscription UX fixes, a cancellation survey with save offers, and an offer testing plan, and then the contract lands on the parts that usually cause friction: approvals, delivery, returns, renewal, and who owns which risks. The ultramarine and ochre layout under Lora headings and Inter body text keeps the document reading like controlled reporting, not campaign copy.

  • This covers the audit, build work States the work gets done inside the client’s existing subscription and messaging stack, and nothing gets published until the client approves changes in writing.
  • Order details Holds what the client checks line by line, including what’s being bought, the retainer term, the monthly price, and any one-off setup fees.
  • Scope of work Defines the retention programmes included in the order and how additions get priced and approved before new flows, channels, or brands get added.
  • Payment Explains the split billing for setup work, monthly invoicing for any ongoing optimisation, the 7-day payment window, and what pauses when an invoice goes unpaid.
  • Ending the engagement Covers how the engagement stops, what happens if setup is cancelled mid-block, and what gets handed over once invoices due are paid.

Once the terms are in your workspace, you change names, dates, and rates to match the order, then send the contract for signing online. The signed copy becomes the reference point for approvals, billing stops and pauses, and what gets handed over at the end.

We went from spending hours on every proposal to creating fully customized ones in under 5 minutes. That's not an exaggeration - we timed it.

What to include in a retention programmes contract

PartWhat it covers

This covers the audit, build work

Sets the scope boundary around the accepted proposal and order, then ties publishing to written approval so changes don’t go live by accident.

Order details

Spells out what the client is buying, plus the term and fees, and makes the order the final word if the order and standard terms ever conflict.

Scope of work

Names the retention deliverables and explains how extra flows, channels, or brands get priced and approved without stalling the original scope.

Payment

Defines the 40/60 setup split, monthly invoicing for any retainer work, the 7-day due date, and the work and launch pauses that kick in on overdue payment.

Delivery and returns

Defines delivery as changes inside the client’s tools or shared working documents, then explains there’s no shipping or returns and how rollback works if a publish causes issues.

Renewal

Covers how the retainer continues after the initial term, what written notice stops the next month, and when a pause does and doesn’t pause billing.

What we are responsible for

Draws the line between delivery responsibilities and outcomes outside control, including platform outages, tracking changes, filtering shifts, and stock or fulfilment-driven churn.

Ending the engagement

Explains how ongoing optimisation stops before a new month, what happens when setup is cancelled mid-block, and that the section carries a Signature for acceptance.

Who it is for

For retention agencies and subscription commerce consultants doing audit and lifecycle builds for Shopify and Recharge brands on a setup fee plus retainer.

The contract in full

This covers the audit, build work, and ongoing optimisation described in your accepted proposal and order, so we can diagnose what is driving churn and make changes without spiking complaints, chargebacks, or deliverability issues.

We will do the work inside your existing subscription and messaging stack, and we will only publish changes after you approve them in writing. The order sets the commercial details. The terms below explain how we work together day to day.

Order details

Your order is the part you should be able to scan and check line by line. It states what you are buying, the retainer term, the monthly price, and any one-off setup fees. It can also name which brand, storefront, or subscription programme the work applies to.

These standard terms apply to everything around that order: access, approvals, timelines, changes, handover, and how we handle risk. If the order and these terms ever say different things on the same point, we will follow the order. Anything not written in the order or agreed in writing later is not included.

Scope of work

We will deliver the retention programmes listed in your order, working from your churn and cohort data and then building and tuning the lifecycle and cancellation experience inside your tools. The deliverables below describe what is included. If you want additional flows, channels, or another brand added after we start, we will price that change and get written approval before we begin it, while keeping the original scope moving.

* Subscription retention audit * Lifecycle email programme build * SMS programme build * On-site subscription UX fixes * Cancellation survey and save offers * Offer testing plan

Payment

Setup work is billed in two parts. We invoice 40% to start, and we begin once that invoice is paid and the agreed access is in place. We invoice the remaining 60% when the setup is complete.

If you add ongoing optimisation on retainer, we invoice at the start of each month for that month’s work. Every invoice is payable within 7 days of its date.

If an invoice goes unpaid, we pause new work and scheduled launches until the account is up to date. We will keep anything already live running as-is, but we will not expand volume, add new sends, or ship new offers while payment is overdue.

Delivery and returns

Our work is delivered as changes inside your systems and as working documents, not as shipped goods. A deliverable is treated as delivered when it is shared with you for review in your project board, as a document link, or in the relevant tool as a draft or staged build.

Because there is nothing to ship, there is no transit risk or returns process. If something we publish causes an issue, tell us as soon as you see it and include what you are seeing and where. We will prioritise rollback or throttling first, then fix the underlying logic or copy once we have the signal. We do not treat performance swings caused by stock-outs, fulfilment delays, tracking breaks, or platform outages as delivery defects.

Renewal

Retention programmes are bought on retainer for the term stated in the order. Unless the order says otherwise, the retainer continues month to month after the initial term.

If you do not want the retainer to continue into the next month, tell us in writing by the notice date we agree with you in writing. Email is fine. If we do not receive that stop notice by the agreed date, we will plan capacity and invoice at the start of the next month as usual.

If you pause for reasons on your side, we can hold the programme steady, but the retainer only pauses if we agree that pause in writing.

What we are responsible for

We are responsible for doing the work with care: using the data you provide, building the agreed flows and UX fixes, and applying risk controls like approvals, holdouts, and send throttles. We will document what we changed, when it went live, and what we are watching.

We are not responsible for outcomes that sit outside our control, such as platform outages, carrier filtering, inbox placement shifts, upstream tracking changes, or app behaviour in Shopify, Recharge, or your messaging tools. We are also not responsible for margin impact when you choose to run an offer against our recommendation, or when refunds, stock availability, or fulfilment performance drives churn independent of messaging.

If something goes wrong, our first step is to reduce harm: pause, throttle, or roll back.

Ending the engagement

You can stop ongoing optimisation before the next month starts by emailing us. When you do, we will finish any in-flight items we have already started if there is time before month-end, and we will not start new work that would land in the next billing month.

Setup work is scheduled as a 4-week block once kickoff begins. If you cancel during setup, we stop new work, but we do not refund work already completed or time already booked to your programme.

When the engagement ends and all invoices due are paid, we hand over what we built and what you need to run it: flow maps, copy and logic, segment definitions, and a short notes pack on throttles, holdouts, and what to watch next.

Questions about this contract template

What should a retention contract include?

A retention contract usually covers the order details, scope of work, payment terms, delivery rules, renewal, responsibilities, and how the engagement ends. The contract also needs to say how approvals work before changes get published.

How do you define scope for retention programmes without endless add-ons?

A scope section needs to name the specific retention deliverables included, then say what happens when new flows, channels, or brands get added after work starts. This contract prices the change and requires written approval before the extra work begins.

When do retention consultants invoice for setup and ongoing optimisation?

This contract bills setup work in two parts, with 40% to start and 60% when setup is complete. Ongoing optimisation, if added on retainer, is invoiced at the start of each month and each invoice is due within 7 days.

What happens if a client doesn’t pay a retention invoice on time?

The payment terms say new work and scheduled launches get paused until the account is up to date. Anything already live keeps running as-is, but volume won’t be expanded and new sends or offers won’t ship while payment is overdue.

How do you handle delivery and rollbacks for retention work?

Delivery is defined as changes inside the client’s systems or working documents shared for review, not shipped goods. If something published causes an issue, the contract prioritises rollback or throttling first, then fixes the underlying logic or copy once the signal is clear.

What should the handover include when a retention engagement ends?

This contract hands over what was built once invoices due are paid, including flow maps, copy and logic, segment definitions, and notes on throttles, holdouts, and what to watch next. The same section also covers when work stops and what happens to in-flight items.
